Terms of Service

These Terms of Service (the “Terms”) are a binding agreement between you and ThriveWorks Media LLC, a Wyoming limited liability company (“TruckBooks,” “we,” “us,” or “our”). They govern your access to and use of truckbooksapp.com, the TruckBooks mobile application, and any related services (together, the “Service”).

By creating an account, joining the waitlist, or using the Service in any way, you agree to these Terms. If you do not agree, do not use the Service.

Read these. Section 11 (“No Tax or Legal Advice”) and Section 15 (“Binding Arbitration; Class-Action Waiver”) affect your legal rights. You are agreeing to resolve disputes through individual arbitration instead of court, and to waive class actions.

1. Eligibility

The Service is intended for use by people who are at least 18 years old and are residents of the United States. By using the Service, you represent that you meet both requirements. We may require additional verification at any time.

2. Your account

You are responsible for everything that happens under your account. Keep your credentials secret and use a strong, unique password. Notify us at support@truckbooksapp.com immediately if you suspect unauthorized access.

You must provide accurate, current, and complete information when you register. You may not create an account for anyone other than yourself without permission.

3. Subscriptions and billing

TruckBooks has two tiers:

  • Free. Up to 25 expense entries per calendar month, at no cost.
  • Pro. Unlimited expenses, advanced reports, cloud sync, and priority support for US $9.99 per month.

Pro subscriptions are sold through the Apple App Store (iOS) or Google Play (Android). Payment is charged to your App Store or Google Play account at confirmation of purchase. Subscriptions automatically renew each billing period unless you cancel at least 24 hours before the end of the current period. Your account is charged for renewal within 24 hours prior to the end of the current period.

Prices may change with at least 30 days' notice. Price changes take effect at your next renewal. You may cancel before the new price takes effect.

4. Free trial

We offer a 7-day free trial of Pro for new subscribers. Trial availability and length may change at our discretion or under the rules of the Apple App Store or Google Play. If you do not cancel before the trial ends, your subscription will automatically convert to a paid Pro subscription and you will be charged the then-current price.

5. Cancellation and refunds

You can cancel your Pro subscription at any time through your Apple App Store or Google Play account settings. Cancellation takes effect at the end of the current billing period, and you keep Pro features until then.

Refunds are handled by the app store that processed the payment. We cannot issue refunds directly for App Store or Google Play purchases. Contact Apple or Google for refund requests under their applicable policies.

6. License to use the Service

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use the TruckBooks mobile application on devices you own or control, solely for your personal or internal business use in operating your trucking business.

7. Prohibited uses

You agree not to:

  • Copy, modify, distribute, sell, lease, sublicense, or reverse-engineer any part of the Service, except as permitted by law that cannot be waived by contract.
  • Use the Service to commit fraud, evade tax obligations, submit falsified records, or engage in any unlawful activity.
  • Scrape, crawl, or use automated means to access the Service except through publicly documented APIs we offer.
  • Interfere with the Service's operation, probe it for vulnerabilities without our written permission, or attempt to gain unauthorized access to any account or system.
  • Upload malware, or content that infringes anyone's intellectual property, privacy, or publicity rights.
  • Use the Service to send spam or to store or transmit any illegal content.

8. Your content

You retain ownership of the data you enter into the Service, including expenses, receipts, notes, and voice recordings (“Your Content”).

You grant us a limited, non-exclusive license to store, process, copy, display, and transmit Your Content solely as needed to provide the Service to you (for example, to sync between your devices, generate reports, or deliver features you requested).

You are responsible for Your Content and for making sure you have the right to upload it. You can delete Your Content at any time from the app, or by deleting your account.

9. Our intellectual property

The Service, including the TruckBooks name, logo, design, source code, marketing copy, and the “10-Second Capture” and “Track the road. Keep the gold.” marks, are owned by ThriveWorks Media LLC or its licensors and are protected by copyright, trademark, and other laws. These Terms do not grant you any rights in our intellectual property except the limited license in Section 6.

10. Third-party services

The Service relies on third-party services (including Supabase, Resend, RevenueCat, Cloudflare, Apple, and Google). Your use of those services may be subject to their own terms and privacy policies. We are not responsible for third-party services or content.

11. No tax or legal advice

TruckBooks is a record-keeping tool, not a tax advisor. Information in the Service, including category suggestions, per-diem calculations, and generated reports, is for organizational purposes only and is not tax, accounting, legal, or financial advice. You are solely responsible for the accuracy of your tax filings and for consulting a qualified professional.

Per-diem, Section 274(n)(3) calculations, Schedule C categorizations, and similar features are provided in good faith based on publicly available IRS guidance as of the date the feature was built. IRS rules and rates change. We do not represent that the calculations will be accepted by any taxing authority. Your CPA or enrolled agent should review any reports before filing.

12. Disclaimers

The Service is provided “as is” and “as available” without warranty of any kind.

To the fullest extent permitted by law, we disclaim all warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising out of course of dealing or usage of trade. We do not warrant that the Service will be uninterrupted, error-free, secure, or free of harmful components, or that any data will be preserved or restored.

13. Limitation of liability

To the fullest extent permitted by law, ThriveWorks Media LLC and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, data, goodwill, or business opportunities, arising out of or relating to the Service or these Terms, even if we have been advised of the possibility of such damages.

Our total aggregate liability to you for any claim arising out of or relating to the Service or these Terms will not exceed the greater of (a) the amounts you paid to us in the 12 months before the event giving rise to the liability, or (b) US $100.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above may not apply to you.

14. Indemnification

You will defend, indemnify, and hold harmless ThriveWorks Media LLC and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to (a) your use of the Service, (b) Your Content, (c) your violation of these Terms, or (d) your violation of any law or the rights of any third party.

15. Binding arbitration & class-action waiver

Please read this section carefully. It affects your legal rights.

You and TruckBooks agree that any dispute, claim, or controversy arising out of or relating to the Service or these Terms (“Disputes”) will be resolved by final and binding arbitration, rather than in court, except that (i) you may assert claims in small-claims court if they qualify, and (ii) either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect intellectual property rights.

The arbitration will be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration will take place in Wyoming, or by videoconference at your request, and will be conducted in English. The arbitrator's award will be binding and may be entered as a judgment in any court of competent jurisdiction.

You and TruckBooks each agree that any proceeding will be conducted only on an individual basis and not in a class, consolidated, or representative action. If for any reason a claim proceeds in court rather than in arbitration, you and TruckBooks each waive any right to a jury trial.

You may opt out of this arbitration agreement by sending written notice to support@truckbooksapp.com with the subject “Arbitration Opt-Out” within 30 days of first accepting these Terms. Your notice must include your name, account email, and a clear statement that you want to opt out.

16. Termination

You may stop using the Service at any time and can delete your account from Settings. We may suspend or terminate your access if we believe you have violated these Terms, if required to comply with law, or to protect the Service or other users. Sections that by their nature should survive termination will survive, including Sections 8, 9, 11, 12, 13, 14, 15, 17, and 19.

17. Governing law

These Terms and any Dispute are governed by the laws of the State of Wyoming, without regard to conflict-of-laws principles. Subject to Section 15, the state and federal courts located in Wyoming will have exclusive jurisdiction over any matter not subject to arbitration.

18. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or by posting a prominent notice in the Service at least 14 days before the changes take effect. Your continued use of the Service after the effective date of the updated Terms constitutes your acceptance of them. If you do not agree, stop using the Service before the changes take effect.

19. Miscellaneous

  • Entire agreement. These Terms, together with the Privacy Policy, are the entire agreement between you and us regarding the Service.
  • Severability. If any provision is held unenforceable, the rest remains in full effect.
  • No waiver. Our failure to enforce a provision is not a waiver of our right to enforce it later.
  • Assignment. You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, or sale of assets.
  • No agency. No partnership, employment, or agency relationship is created by these Terms.
  • Notices. We may send notices by email to the address on your account or by posting them in the Service. Notices to us must be sent to support@truckbooksapp.com.
